Project Terms
These project terms describe the general way KIKS Systems works. The individually agreed offer is always decisive.
This English version is provided for transparent information for international visitors. The German legal texts remain the primary reference.
Scope of Services
The specific scope of services is defined in the respective offer. Services may include AI process integration, AI automations, request and email assistants, document workflows, technical integrations and ongoing AI operations. Functions, integrations, data migrations, ongoing support or extensions that are not expressly agreed are not included.
Business Customers Only
The offered services are intended exclusively for businesses. No offer is made to consumers within the meaning of Austrian consumer protection law. All prices are net plus statutory VAT unless expressly stated otherwise.
Prices and Payment
All prices are net plus statutory VAT unless expressly stated otherwise. Unless otherwise agreed, invoices are due within 14 days without deduction.
Advance Payments
For implementation packages, an advance payment of 50% at project start is generally intended. The remaining amount is charged after handover or after the agreed scope has been reached.
Initial Analysis
The Initial Analysis, formerly called the AI Process Review, covers one specific business process, a technical and risk assessment, and possible automation or improvement approaches. It costs from €500 net plus 20% VAT; the specific price is stated in the individual offer. The Initial Analysis does not replace legal, tax or business advice. If implementation of the assessed process is commissioned, the amount may be credited by individual agreement.
Human Approval
No automatic sending takes place without approval. Critical actions such as sending emails, accounting-relevant decisions or binding external communication are reviewed and approved by humans.
AI Results
AI-generated content, classifications, extractions and suggestions may contain errors. Clients must review results before use, especially for legal, tax, medical, financial or other sensitive content.
AI Safety and Usage Boundaries
AI-supported automations may contain errors and must not be used without review for legal, tax, medical, financial or other sensitive decisions. High-risk applications or particularly regulated use cases are implemented only after separate review and express agreement.
No Legal or Tax Advice
The services do not replace legal advice, tax advice or other professional advice. Such reviews must be carried out by qualified parties where needed.
Third-Party Providers
Automations may depend on third-party providers, APIs, platforms, quotas and technical changes. Changes or outages of such services may cause additional adjustment effort. Costs for third-party providers, APIs, AI services, email mailboxes, hosting, n8n, databases or other external services are included only if expressly agreed.
Operations and Support
Ongoing AI operations and support packages such as Basic Care, Business Ops or Pro Ops depend on the individually agreed offer. Monthly support and operations packages are agreed separately. Unless otherwise agreed, monthly support packages run indefinitely and may be terminated with 14 days' notice to the end of a month.
Unused support time is not carried over. New functions, additional integrations, additional email types, additional mailboxes, higher volume or larger rebuilds are not automatically included and are quoted separately.
Change Requests
Changes or extensions outside the agreed scope are treated as change requests and may be quoted and charged separately.
Acceptance and Handover
A service is considered handed over when the agreed functional scope has been provided and tested with example data. Open change requests outside the agreed scope are not defects but possible extensions.
Rights of Use
Unless otherwise agreed, the client receives a simple right to use the workflows and configurations set up for them for the agreed purpose. Reusable components, general concepts, templates and know-how remain with KIKS Systems or Karl Constantin Schulmeister.
Data Protection and Access
The client provides only those accesses and data that are necessary for implementation. Where personal data is processed, suitable data protection measures and, where applicable, additional agreements are clarified for the project. After project end or upon justified request, provided test data, example emails and access credentials that are no longer needed will be deleted or returned, unless statutory retention obligations or legitimate interests prevent this.
Availability and Errors
Automations may contain errors or be affected by changes at third-party providers. Uninterrupted availability or complete freedom from errors is not guaranteed unless expressly agreed in writing.
Requests and Orders
A request through the website or by email is not yet an order. An order is created only through an individually confirmed offer or separate agreement.
